Uni-Level Referral Program Terms and Conditions

Our Uni-Level Referral Program’s terms and conditions are important for it serves as a norm of conduct for participants, and what’s acceptable.

PART 1: GLOBAL DEFINITIONS APPLICABLE:

The following words or phrases shall bear the meaning stated below:

  • "Customer" shall mean a member who has not opted in for the Affiliate Business Program subscription;
  • "Member" shall mean an “Affiliate” or “Connecta” member;
  • "Affiliate member” shall mean the a member with an opted in, but UNPAID Affiliate Business Program subscription;
  • "Connecta Member" shall mean a member with an opted in, and PAID Affiliate Business Program program subscription;

PART 2: FEES:

  1. Members (Customers excluded) pay an annual Membership Fee of 100 ZAR on the Member’s anniversary month.
  2. To be registered as an “Affiliate” member, NO monthly subscription is required.
  3. To be registered as a “Connecta” member, a monthly subscription of 100 ZAR is required.

PART 3: GENERAL TERMS AND CONDITIONS:

  1. Cancellation (Cooling – off) Period: A member may cancel his/her business subscription which shall be no less than 5 working days from signature of the agreement, and obtain reimbursement of any payment without any form of penalty.
  2. A member who markets the products, services and or benefits of MEMA shall operate his/her own business, is an independent contractor (for all purposes including tax and otherwise), and is not an employee, legal representative or agent of MEMA.
  3. A member shall, provided he/she is a paid up Affiliate or Connecta member, be entitled to start earning on the customers he/she personally invited on a “as-and-when” basis, (every time the customer makes payment), as per earnings structure.
  4. The earnings structure refer to the monthly earn-able fees, as listed by MEMA from time to time, and in accordance with this listed terms and conditions.
  5. Mema may in its sole discretion and at any time alter the earnings structures and required qualifications, if Mema deems such alterations to be in the interest of itself and members.
  6. A member can terminate his association with Mema at any time, by means of writing.
  7. A member who terminates or whose association with MEMA is terminated, shall lose his/her member status with MEMA and forfeit all rights in terms of this agreement.
  8. To be entitled to the benefits and earnings due as set out in this application and rules and policy document, a member must ensure that his/her membership remains active and valid and shall ensure that all membership fees are paid on time, as per agreement.
  9. MEMA shall not be held liable for any consequential or incidental damages caused by its breach, cancellation or suspension of this agreement, whether or not the possibilities for such damages are known to MEMA.
  10. A member will operate his/her business in such a manner and at all times to ensure that his/her conduct complies with the rules, policies of MEMA as per the agreed Code of Conduct.

PART 4: UPGRADE FEATURE:

A customer who opts in for the Business Program first becomes, by definition, an Affiliate member.

When the accumulated earning of such member is sufficient to pay for his/her product subscription/s, and the Business Program, then such accumulated earnings are applied to activate (pay) for the Business Program.

A member will then, by definition, become and unlock the benefits as a “Connecta” member.

PART 5: TRANSFER OF SUBSCRIPTION AND EARNINGS:

In the event of a death of a member, will the current product subscriptions, together with the Business Program, cease.

In such event, ownership of the membership can be transferred to a preassigned nominated beneficiary, whom will have the right to become the new member, on condition that such new member qualify to subscribe to any of the available products or benefits presented by MEMA, and that such beneficiary agree to comply with all the terms and conditions of the selected products and/or benefits.

PART 6: ELIGIBILITY TO EARN

Only Affiliate and Connecta members who selected to partake in the Business Program, are eligible to share in profits.

PART 7: CALCULATION PERIOD:

The calculation period stretches from the 16th of a month to the 15th of the following month.

PART 8: UNPAID PREMIUMS - GRACE PERIOD:

In the event that MEMA was unable to collect the balance due as per a member’s invoice, such member will be offered a 10 day grace period following the “Calculation Period” to bring his/her account up to date, with the final payment date being the 25th, and to be included in the Final Recon.

Payments received after the 25th will be processed towards the outstanding balance of a member, but will be excluded from the Final Recon.

PART 9: OFFSET OF EARNINGS:

Earnings are offset against the total monthly premium as payable under the agreement.

PART 10: PAYMENT OF EARNINGS - DATE:

Earnings are paid on the 2nd working day (excluding Saturdays, Sundays and public holidays) of the next calendar month, following the 15th.

PART 11: PROCESS OF CALCULATIONS:

Fees per level are not static, but dynamic since levels are calculated according to the rank of each Level as explained in Steps 1 – 3 below:

Step 1: Profits from paid members are counted for each of the 10 levels.

Step 2: Each level is ranked from highest to the lowest in terms of the value of counted profits.

Step 3: Earn-able percentages are assigned for each ranked level (see table below) at which profits are calculated at.

PART 12: ROLL-UP:

In an effort to keep the network compounded with active paying MEMBERS, MEMA will apply the roll-up system from time to time to remove memberships which have lapsed, members cancelled or has been suspended for reasons as per “Code of Conduct”.

In case of above occurrence, the “active” member will then be linked to the “active” sponsor of the lapsed, cancelled or suspended sponsor.

PART 13: SPILL OVER:

The spill-over rule is only applied when an Affiliate member invited more than 2 members.

Example: An Affiliate member invites 3 members. The first 2 members will be placed on such member’s first level and the 3rd member will spill over to the second, third or any other lower level, depending on the availability of a position. In order to assign and give a spilled-over member a new position, we keep track of:

  • Who signed up first.
  • Membership types.
  • How many members a member in the lower level have, and are allowed to have.

PART 14: REINSTATEMENT AND CHANGE OF SPONSOR:

When a member reinstates his membership within six month of a cancellation or lapsed period, such member will be reassigned under his her previous sponsor.

When a member reinstates his membership outside a six month cancellation or lapsed period, such member may sign up under a new sponsor.

No member may change his/her sponsor without the written consent of the current sponsor.
